Terms of Service

These Terms govern your use of Tokylo. We've kept the language as plain as we could. If anything is unclear, email legal@tokylo.com.
1. Agreement
These Terms of Service (“Terms”) form a legal agreement between you (or the entity you represent, “Customer”) and Tokylo (“Tokylo,” “we,” “us”). By creating an account or using www.tokylo.com, app.tokylo.com, or any related service (the “Service”), you agree to these Terms.
2. Your account
You must be at least 16 years old and legally able to enter into a contract. You are responsible for:
- Keeping your login credentials confidential
- All activity that happens under your account
- Notifying us promptly at security@tokylo.com if your account is compromised
3. Acceptable use
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or content that violates the receiving platform's rules (Line, Telegram, WhatsApp, Meta, Google, etc.)
- Harass, defame, or threaten others
- Distribute malware, exploit security vulnerabilities, or attempt to access accounts that aren't yours
- Reverse-engineer or copy the Service to build a competing product
- Violate any law or third-party right
We may suspend or terminate accounts that violate this section. We notify you first when reasonable; we may act immediately for severe abuse, security incidents, or legal reasons.
4. Your data and privacy
You retain all rights to the data you upload to Tokylo (“Customer Data”). You grant us a limited licence to host, process, and transmit Customer Data only as necessary to provide the Service.
We do not sell Customer Data, do not share it with third parties for advertising, and do not use it to train AI models that benefit other customers. See our Privacy Policy for details.
5. Subscription, fees, and billing
Paid plans are billed in advance on a monthly or annual cycle. Fees are non-refundable except where required by law. You can cancel at any time from your account settings — cancellation stops future billing and your access continues until the end of the current paid period.
We may change pricing with 30 days' notice. Existing prepaid periods are honored at the original price.
6. Service changes and uptime
We continuously improve the Service. We may add, change, or remove features. For changes that materially reduce functionality on a paid plan, we will give 30 days' notice and offer a pro-rated refund if you choose to cancel.
We target 99.9% uptime, measured monthly. We will publish incidents and root-cause analyses for any outage above 5 minutes.
7. Third-party platforms
When you connect Tokylo to a third-party service (Line, Telegram, WhatsApp Business Cloud, email, calendar), you authorize us to access that service on your behalf. Each third-party service is governed by its own terms. Tokylo is not responsible for changes, downtime, or pricing changes by those third parties.
8. Termination
You can stop using the Service at any time. We can suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk for us or other users.
On termination, you can export your data for 30 days, after which we delete it. Provisions that by their nature survive (intellectual property, indemnity, limitation of liability) continue.
9. Warranties
Tokylo provides the Service “as is.” To the maximum extent allowed by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the extent permitted by law, Tokylo's total liability for any claim arising out of these Terms or the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption.
11. Indemnification
You agree to indemnify and hold Tokylo harmless from claims arising out of your use of the Service in violation of these Terms, your Customer Data, or your violation of any law or third-party right.
12. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. Disputes will be resolved by the courts of Singapore, except where applicable consumer-protection law gives you the right to bring a claim in your local courts.
13. Changes to these Terms
We may update these Terms. Material changes will be announced by email and via the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
